By accessing this website or downloading, installing, or using ClusterCollie AI (the "Software"), you agree to be bound by these Terms of Use. If you do not agree, do not use the website or the Software. These Terms are between you and Project Research LLC ("Company," "we," "us").

2. Beta Software Notice

ClusterCollie AI is currently distributed as beta software. It may contain bugs, incomplete features, or forecasting inaccuracies. The Software is provided for evaluation and testing purposes, and you should not rely on it as your sole source of truth for capacity, budget, or procurement decisions. Beta status may change without notice, and features may be added, altered, or removed between releases.

3. License Grant

Subject to your compliance with these Terms, Project Research LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and use ClusterCollie AI for internal evaluation, testing, and infrastructure planning purposes. This license does not grant you rights to resell, sublicense, or redistribute the Software as a commercial product without prior written consent from Project Research LLC.

4. No Affiliation with Nutanix

ClusterCollie AI is an independent, third-party tool. It is not developed, sponsored, endorsed, or certified by Nutanix, Inc. "Nutanix," "Prism," and "Prism Central" are trademarks of their respective owner. Any interoperability with Nutanix Prism Central or the Nutanix MCP server is provided on an as-available, unofficial integration basis.

5. Disclaimer of Warranties

THE SOFTWARE AND THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF FORECASTING OUTPUT. Project Research LLC does not warrant that forecasts generated by the Software will be accurate, complete, or suitable for any specific capacity planning decision.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT RESEARCH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE OR THIS WEBSITE, INCLUDING RELIANCE ON ANY CAPACITY FORECAST PRODUCED BY THE SOFTWARE.

7. User Responsibilities

• You are responsible for securing your own Nutanix Prism Central credentials and API access used with the Software.
• You agree to validate forecast output against your own infrastructure data before making procurement, budgeting, or operational decisions.
• You will not use the Software to gain unauthorized access to any system or network.
• You will comply with all applicable laws and your organization's internal security and data governance policies when using the Software.

8. Intellectual Property

The ClusterCollie AI name, logo, mascot artwork, and associated branding are the property of Project Research LLC. Except as expressly permitted under the license grant above, no rights to these assets are transferred to you.

9. Termination

We may suspend or terminate your access to the Software or this website at any time if you violate these Terms. Upon termination, you must cease use of the Software and delete any copies in your possession.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, unless otherwise required by applicable law.

11. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Software or website after changes are posted constitutes acceptance of the revised Terms.
